Interlocking Directorate Networks: Review and reflection

连锁董事网是一种重要的组织间关系网络,随着现代公司制度的建立,它在中国的商业网络中也成了一种普遍存在的组织现象。连锁董事网对理解公司治理、公司绩效、资本家阶级凝聚、商业精英政治行动的统一性等议题都有重要意义。本文回顾了与连锁董事网的影响后果和形成机制相关的研究文献,指出以往的研究缺少对网络所依托制度背景的关注。未来的连锁董事网研究应充分考虑网络形成和演化的政治经济背景。

The interlocking directorate network is a very important kind of inter-organizational network. With the establishment of modern company system in China, it also becomes a common organizational phenomenon in Chinese business networks. Interlocking directorate networks have great significance for understanding such topics as corporate governance, firm performance, class cohesion of the capitalists, and the political unity of the business elites. This article reviews literature on the formation mechanism and consequences of interlocking directorate networks, and criticizes previous studies for ignoring institutional backgrounds on which the networks depend. The author argues that future research should focus on the political economic background of the networks' formation and evolution.
